We congratulate our client, Marchesi Antinori, on its acquisition of Napa Valley’s iconic Stag’s Leap Wine Cellars from Ste. Michelle Wine Estates, owned by private equity firm Sycamore Partners. Marchesi Antinori acquired Stag’s Leap and other wine-related real estate assets through its U.S. subsidiary, Antinori California, which also owns the Antinori Napa Valley estate.

Bankruptcy and Creditors’ Rights partner Alec P. Ostrow recently moderated two panels at the American Bankruptcy Institute’s New York City Conference on the subject of recent confirmation issues.  The panels discussed such issues as restructuring support agreements, make-whole payments to lenders, allocation of collateral appreciation, reinstatement of debt, cramdown interest rates, and equitable mootness of confirmation orders.

Becker Glynn served as New York counsel to International Finance Corporation in its BRL330 million financing package to União Química Farmacêutica Nacional S.A., one of Brazil’s largest pharmaceutical companies.

Corporate partner Susanne von Türk co-authored a report for German companies about US employment law and current labor market issues. The report is entitled, Lohn- und Lohnnebenkosten / USA / Für Firmen in den USA ist der Fachkräftemangel ein Problem and was published in German by Germany Trade & Invest (GTAI), the economic development agency of the Federal Republic of Germany.

Bankruptcy and creditors’ rights partner Alec P. Ostrow spoke at the American Bankruptcy Institute’s New York City Conference as a panel member on the Cross-Border Restructuring Panel.

After the Firm’s client sold its commercial property and business, a plaintiff associated with the buyer sued the client, wrongly claiming fraud and tortious interference with prospective economic advantage. Firm litigators Zeb Landsman and Tara Higgins sent the case to New York’s Commercial Division and filed papers seeking a pre-answer dismissal based on the written terms of the governing contracts.

The Firm secured an $11.5 million judgment for the Delaware holding company of a Brazilian telecommunications company. Earlier in the case the New York court found the defendant liable for failing to make a multimillion-dollar investment. The case was scheduled for a damages trial.

The Firm defended a travel technology company against claims by a former employee that he was fired in retaliation for a dispute over sales commissions. Led by litigation associate William H. Newman, the Firm secured a pre-hearing dismissal of one of the claims and then a near complete victory after a three-day virtual arbitration hearing, where a dozen witnesses testified.
