Outside general counsel to establish and maintain U.S. operations. Our support includes subsidiary formation, corporate governance (including acting as corporate secretary), manufacturing, distribution and agency, supply and other commercial agreements, employment and consultancy arrangements, real estate, tax and dispute resolution.
Deal counsel to assist companies in all aspects of M&A, joint venture, financing and other corporate transactions, including legal due diligence and negotiation of all deal documentation. Our transactional practice routinely involves deals where the target is located in New York, other States in the U.S. and foreign jurisdictions.
