Kenneth J. Stuart, Of Counsel to Becker Glynn, practices in the areas of securities, banking, corporate and commercial transactions, including public and private offerings; tender offers; hedge funds; private equity; venture capital; bank and other asset-based lending; securitizations; mergers and acquisitions (domestic and cross-border); project and leveraged lease financing; joint ventures, partnerships and limited liability companies.
He is experienced in the principal areas involving the federal securities laws, including ’33 Act registrations and exempt offerings of equity and debt securities; ’34 Act reporting and issuer and broker-dealer matters; compliance; private investment companies and mutual funds under the Investment Company Act; and Investment Advisers Act matters, including available exemptions and registration of investment advisers. Mr. Stuart has worked on numerous mergers, acquisitions and dispositions, including leveraged and management buy-outs. He also has significant venture capital financing and secured and unsecured lending experience.
Mr. Stuart has represented hedge funds and partnership syndicators and worked on major leveraged lease and project financings and a unique securitization transaction. He has advised clients on corporate governance issues, matters relating to crypto currency, tax advantaged opportunity zone financing, and general commercial matters, and has spoken at numerous continuing legal education and client seminars.
